Wednesday, February 17, 2021 A Senior LegalAdministrator/Senior Paralegal leads the provision of legal administrationservices for Ultimus' mutual fund clients.--A Senior Legal Administrator/Senior Paralegal leads the preparation ofboard materials and regulatory filings, manages regulatory calendars, providesgeneral legal, filing and governance support, and handles other client-relatedmatters. ESSENTIALDUTIES AND RESPONSIBILTIES

  • Prepares otherclient SEC filings and forms;
  • Prepares anddistributes client board and committee materials (including agendas, exhibits,reports and resolutions);
  • Preparesminutes of client board and committee meetings;
  • May be asked toattend board and committee meetings by telephone or, if client requests, inperson, in order to record notes;
  • Serves as aprimary legal contact for designated clients and a diplomat for Ultimus;
  • Coordinateswith clients, fund counsel, Ultimus teams and other fund service providers withrespect to fund issues and assists with the resolution of client issues;
  • Maintainscontractual agreements and corporate governance documents;
  • Managesregulatory calendars and filing processes;
  • Assists in thedevelopment and oversight of legal administration procedures relating to boardmeetings, corporate governance and SEC filings;
  • Leads andassists with projects as needed; and
  • Performs dailylegal administration operations. KNOWLEDGE ANDSKILLS
    • Thoroughunderstanding of the day-to-day legal administration services provided byUltimus;
    • Thoroughunderstanding of relevant statutes and rules relating to the core job functions;
    • Sound knowledgeof the financial services industry and client service and the ability toexercise good judgement;
    • Strong clientservice skills with an aptitude to understand the clients' basic legal needsand how they are related to the clients' business needs;
    • Ability toorganize and prioritize work and assist in the coordination of the work ofother team members;
    • Ability tomulti-task while maintaining careful attention to detail;
    • Ability to workeffectively both individually and within a team environment;
    • Ability to workwith minimum direction from an attorney;
    • Ability to workwith a sense of urgency to meet deadlines and address competing priorities;
    • Proficientskills with Microsoft Office software including Word, Excel, PowerPoint andOutlook;
    • Strong written,listening and verbal communication skills; and
    • Strong problemsolving, project management and organizational skills. QUALIFICATIONS
      • A minimum offive years of paralegal or legal administration experience in a corporate orlaw firm environment is required;
      • A minimum offive years of experience with the Investment Company Act of 1940 is required;
      • An associatedegree from an accredited college or university is required;
      • A bachelor'sdegree from an accredited college or university is preferred;
      • A paralegalcertificate from an accredited school, college, or university is preferred;
      • Strong writtenand oral communication skills, research skills and attention to detail arerequired; and
      • Ability to workin a fast-paced environment and handle/manage multiple team and individualpriorities and deadlines. PHYSICAL ANDOTHER REQUIREMENTS
        • At times, asbusiness needs arise, employees are required and agree to work beyond theirnormal work day or work week to fulfill the accountabilities required for theirjob.

        • The employeemust occasionally lift and/or move up to 10lbs and;
